Website Design & Development Agreement

This Scope of Work ("Agreement") defines the deliverables, timeline, payment terms, and limitations of the web design project provided by Hola Websites (a service of Thalos Inc., 17450 Hada Dr, Rancho Bernardo, San Diego, CA 92127 | (858) 361-5641 | holawebsites.com) to the client identified at checkout ("Client").

By paying the deposit and/or checking the acceptance box on the checkout page, the Client acknowledges that they have read, understood, and agreed to all terms in this Agreement.


PART 1 — PROJECT OVERVIEW

1.1. Project Description

Hola Websites agrees to design, develop, and deploy a professional website for the Client as described in this Agreement. The project is limited to the deliverables explicitly listed in Part 2. Any work outside this scope requires a separate written quote and agreement.


PART 2 — DELIVERABLES & SCOPE

2.1. Standard Website Package — What Is Included

The following deliverables are included in the base setup fee of $997 USD:

  • Home Page — Full mobile-responsive design with click-to-call functionality, service overview, contact form, and call-to-action sections.
  • Terms & Conditions Page — A standard terms and conditions page customized for the Client's business type.
  • Privacy Policy Page — A standard privacy policy page customized for the Client's business type.
  • QR Code Generation — One (1) custom QR code linked to the Client's website, suitable for print and digital use.
  • Domain Configuration — DNS setup and connection to the Client's chosen domain name.
  • SSL Certificate — Secure HTTPS configuration for the website.
  • Mobile Optimization — The website is built and tested to function correctly on smartphones, tablets, and desktop screens.
  • Basic On-Page SEO — Page titles, meta descriptions, image alt text, and URL structure configured for search visibility.

2.2. What Is NOT Included in the Base Package

The following items are explicitly outside the scope of the standard package and require a separate written quote:

  • Additional pages beyond those listed in Section 2.1 (e.g., Services pages, Portfolio, Blog, Gallery, Team pages, etc.).
  • E-commerce functionality or online payment processing.
  • Custom logo design or full brand identity creation.
  • Professional photography or videography.
  • Paid advertising campaigns (Google Ads, Facebook Ads, etc.).
  • Social media management or content creation.
  • Spanish-language version of the website (available as a separate add-on — contact us for pricing).
  • Advanced booking systems beyond standard calendar integration.
  • Automation add-ons (available at additional cost) — Our platform supports a range of powerful automations that can be added to any plan, including SMS Textback, appointment-setting workflows, AI agent for SMS, WhatsApp, and web chat, AI phone operator, and other automation capabilities. These are not included in the base setup fee and will be quoted separately.

Additional Pages — Important Notice: Each additional page beyond those included in the standard package is available at an additional cost and must be scoped, quoted, and agreed upon in a separate written agreement before work begins. No additional pages will be built without a signed quote and deposit.

2.3. Monthly Maintenance Plan

Following website launch, the monthly maintenance plan ($49/month) covers the following:

  • Maintenance Plan ($49/month): Secure hosting so your site stays live, monthly software and plugin updates, SSL certificate renewal, and uptime monitoring. We also handle up to 30 minutes per month of content edits — updating your services, hours, photos, or pricing whenever you need. You don't have to touch a thing.

Content edits exceeding the monthly allowance will be quoted and billed at $75 USD per hour, with a one-hour minimum. Major redesigns, new page builds, and feature additions are not considered content edits and require a separate quote.

Note: Unused monthly edit time does not carry over to subsequent months.


PART 3 — TIMELINE & DELIVERY

3.1. Project Timeline

Hola Websites will deliver the completed website within twenty (20) business days (approximately four calendar weeks) from the date both of the following conditions are met:

  • The initial deposit of $497 USD has been received and cleared.
  • The Client has submitted all required materials as described in Part 5 of this Agreement.

The twenty (20) business day clock begins on the first business day after both conditions above are satisfied — not on the date this agreement is accepted.

3.2. Client Delays

If the Client fails to provide required materials within five (5) business days of being requested, Hola Websites reserves the right to pause the project timeline. The delivery window will be extended by one (1) business day for each business day of Client delay beyond the five (5) day window. Hola Websites will not be held responsible for missed deadlines caused by Client delays, third-party service outages, or factors outside our reasonable control.

3.3. Revision Rounds

The project includes up to two (2) rounds of revisions during the build phase before launch. A revision round is defined as a single consolidated list of changes submitted by the Client after reviewing the design. Revision requests must be submitted within five (5) business days of receiving the design for review. Failure to respond within this window will be treated as approval.


PART 4 — PAYMENT TERMS

4.1. Setup Fee

The total setup fee for the standard website package is $997 USD, payable in two installments:

  • Deposit: $497 USD — due at project initiation. Work will not begin until this payment is received.
  • Balance: $500 USD — due upon the Client's approval of the completed website, prior to launch. The website will not be published until the balance is paid in full.

4.2. Monthly Maintenance Fees

  • Hosting & Maintenance Plan: $49 USD per month, billed monthly beginning on the website launch date. Plans are month-to-month. There are no annual contracts or long-term commitments required.

4.3. Payment Method

All payments are processed securely online via Stripe. Hola Websites does not collect or store card information manually. The Client will receive three separate secure payment links: one for the $497 deposit at project initiation, one for the $500 balance upon website approval, and one to set up the recurring monthly maintenance plan. Monthly billing is handled automatically by Stripe.

4.4. Late Payments

Monthly fees not paid within ten (10) days of the due date may result in temporary suspension of hosting services. Websites suspended for non-payment will be restored within 24 hours of payment being received. Accounts more than thirty (30) days past due may be subject to a $25 reactivation fee.

4.5. Refund Policy

The $497 deposit is non-refundable once design work has commenced (defined as Hola Websites beginning the wireframe or visual design phase). If the Client cancels the project before design work begins, the deposit will be refunded in full within ten (10) business days. The $500 balance is due only upon Client approval — if the Client chooses not to launch after approving the design, the balance is still owed.


PART 5 — CLIENT RESPONSIBILITIES

5.1. Required Materials

The Client is responsible for providing the following materials within five (5) business days of project initiation. Delays will extend the project timeline as described in Section 3.2:

  • Business logo (vector .AI, .EPS, .SVG, or high-resolution .PNG preferred). If no logo exists, Hola Websites can provide basic logo placement using the Client's business name in text form.
  • Business name, tagline, and primary phone number.
  • Business address and service area (cities, neighborhoods, or radius).
  • List of services offered.
  • Any existing photos of the Client's work, team, or equipment (JPG or PNG, minimum 1MB each preferred). If no photos are available, Hola Websites will use stock photography or AI-generated imagery.
  • Preferred domain name (if not yet registered, Hola Websites will assist with selection and registration).
  • Google Business Profile access — please grant admin access to Hola Websites rather than sharing login credentials.
  • Any existing website login credentials if migrating from a prior platform.

5.2. Content Accuracy

The Client is solely responsible for the accuracy, legality, and truthfulness of all content provided to Hola Websites. Hola Websites will not independently verify the accuracy of Client-supplied content and assumes no liability for errors or omissions in content provided by the Client.

5.3. Timely Feedback & Approvals

The Client agrees to review design drafts and provide consolidated, written feedback within five (5) business days of delivery. Approvals may be given by email, text message, or WhatsApp. Silence for more than five (5) business days after delivery of a design draft will be interpreted as approval and the project will proceed to the next phase.


PART 6 — IMAGERY & VISUAL CONTENT

6.1. AI-Generated Imagery

Hola Websites may use AI-generated images as part of the website design for hero section backgrounds, service illustrations, and placeholder imagery. If the Client provides sufficient, high-quality photographs, Hola Websites will prioritize Client-supplied photos. The Client may request that AI-generated imagery not be used — in this case, the Client must supply adequate photography or agree to a licensed stock photography fee.

6.2. Stock Photography

Hola Websites may use commercially licensed stock photography from platforms including Unsplash, Pexels, Adobe Stock, or similar. All stock imagery used will be properly licensed. The Client will not acquire any additional rights to stock images beyond those granted by the original license terms.

6.3. Client-Supplied Photos

By providing photos to Hola Websites, the Client confirms that they own or have the right to use those images commercially. Hola Websites assumes no liability for copyright infringement arising from Client-supplied images.


PART 7 — INTELLECTUAL PROPERTY & OWNERSHIP

7.1. Website Ownership

Upon receipt of the final $500 balance payment, the Client owns the written copy and content created by Hola Websites specifically for the Client's project. Please note that the website is built as a web application hosted on our platform's servers — it is not delivered as standalone design files. Hola Websites retains ownership of any proprietary templates, frameworks, code libraries, automation configurations, or design systems used in the build. Continued access to the website depends on maintaining an active monthly plan.

7.2. Portfolio Rights

The Client grants Hola Websites a non-exclusive, perpetual, royalty-free right to display the completed website in our portfolio, on social media, and in marketing materials. The Client's personal or sensitive business information will not be shared without consent.

7.3. Third-Party Platforms

The website may be built on third-party platforms. In such cases, continued access to the website may depend on the terms of service of those platforms. Hola Websites is not responsible for changes, outages, or policy updates made by third-party platforms.


PART 8 — CANCELLATION & TERMINATION

8.1. Cancellation by Client

The Client may cancel their monthly maintenance plan by providing written notice (email, text, or WhatsApp) to Hola Websites no later than five (5) days before the next billing date. Cancellation takes effect at the end of the current billing cycle — no partial refunds are issued for unused days within a billing period.

8.2. Cancellation During Build Phase

If the Client cancels the project after design work has commenced but before the website has launched, the $497 deposit is forfeited. If the Client cancels after approving the design but before launch, the full $997 setup fee is owed.

8.3. Termination by Hola Websites

Hola Websites reserves the right to terminate this agreement and suspend services in the following circumstances: non-payment beyond thirty (30) days, Client behavior that is abusive or threatening toward Hola Websites staff, or a Client request to create content that is illegal, defamatory, or in violation of applicable law. In such cases, any fees already paid are non-refundable.


PART 9 — LIMITATION OF LIABILITY

9.1. No Guarantee of Business Results

Hola Websites does not guarantee specific outcomes including but not limited to: Google search rankings, website traffic levels, number of leads generated, or revenue increases. Results depend on factors outside Hola Websites' control, including market conditions, competition, and the Client's own business operations.

9.2. Maximum Liability

In no event shall Hola Websites' total liability to the Client for any claim arising from this agreement exceed the total amount paid by the Client to Hola Websites in the three (3) months preceding the claim. Hola Websites shall not be liable for indirect, incidental, consequential, or punitive damages.

9.3. Third-Party Services

Hola Websites integrates with third-party tools and platforms. We are not responsible for outages, data loss, pricing changes, or policy updates by those services. The Client agrees to review and accept the terms of service of any third-party platform used as part of their website or automation setup.


PART 10 — GOVERNING LAW

This agreement shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of San Diego County, California.
