These Terms of Use ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "client", or "user") and Thalos Inc., doing business as Hola Websites ("Company", "we", "us", or "our"), concerning your access to and use of our website design services, hosted digital assets, and any associated media channels or sub-accounts (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using our Services and must discontinue use immediately.

1. Eligibility & Minimum Age

By registering an account or executing a service agreement with us, you represent and warrant that you are at least 18 years of age. The Services are intended strictly for commercial, business-related utilities. If you are under 18 years of age, you are expressly prohibited from registering for the Services or attempting to open a client sub-account.

2. Account Registration, Security, & Responsibility

To utilize our platform features and manage your hosted website, you will be assigned a secure sub-account.

• Credential Integrity: You are entirely responsible for maintaining the strict confidentiality of your account login credentials, including passwords.
• Liability for Activity: You assume full legal and financial responsibility for all activities, data transmissions, and customer communications that occur under your account.
• Notification of Breach: You agree to notify us immediately at [email protected] if you suspect or discover any unauthorized use of your account or any other breach of security.

3. Fees, Usage-Based Billing, & Refund Policy

A. Setup Fees

Our standard website design package requires a flat $997 setup fee. This fee is split into two installments:

• A $497 upfront deposit paid before design work begins. This deposit is non-refundable and covers initial template customization resources.
• A $500 final payment due immediately upon your approval and prior to pushing the website live onto your custom domain.

B. Monthly Subscription

Continued access to cloud hosting, layout maintenance, and platform features requires an ongoing monthly subscription fee:

• Plan "Esencial": $49/month

C. Usage-Based Digital Consumption Fees

In addition to your flat monthly subscription, certain platform features incur variable transactional costs based on your direct consumption. You agree to pay for all system usage, which includes but is not limited to:

• Email Delivery: Outbound email transmissions generated by platform features, including quote request notifications sent to you when end-consumers submit forms on your website.
• System Relays: Any auxiliary data relays or carrier execution costs required to process form submissions and deliver notifications through our platform infrastructure.

These consumption fees are tracked automatically through your software sub-account and will be billed dynamically or added to your regular monthly statement. For most clients, total monthly usage fees are expected to fall between $1 and $3 per month.

D. Strict Refund Policy

All transactions processed by Thalos Inc. are final. We maintain a strict NO REFUNDS policy on all digital subscriptions once a billing cycle processes. Monthly recurring fees, setup fees, and usage-based consumption credits are completely non-refundable.

4. Cancellation & Non-Working Days Protection

You may cancel your monthly subscription at any time. To protect our administrative workflow from processing delays over non-working days, statutory holidays, and weekends, you must submit a formal cancellation request at least five (5) days prior to your next scheduled billing cycle date.

Cancellation requests must be submitted in writing via email to [email protected]. If a request is received fewer than 5 days before your renewal date, the next month's billing cycle will process as scheduled, your access will remain open for that final period, and cancellation will take effect on the following cycle.

5. Termination Rights

We reserve the absolute right, in our sole discretion and without notice or financial liability, to suspend, restrict, or completely terminate your website hosting and sub-account access if:

• You fail to pay any due setup balances, recurring subscription dues, or usage-based consumption fees.
• You violate any provisions laid out in these Terms.
• You engage in any fraudulent, unlawful, or abusive operational practices that compromise our underlying server infrastructure.

6. Scope of Service & Strict Technical Limits

To maintain high performance and prevent administrative bottlenecks, your monthly maintenance plan is subject to the following operational boundaries:

• Plan "Esencial" ($49/mo) Limits: Includes hosting, security maintenance, and a maximum allotment of 30 minutes of text or photo updates per calendar month (e.g., minor text edits, basic hours adjustments, or swapping 2–3 project images).
• Excess Labor Allotment: Any custom structural changes, layout redesigns, or content modifications that exceed your plan's monthly minute allotment will be billed separately at our standard hourly agency rate. Unused minutes do not roll over to the next month.
• Third-Party Infrastructure Dependency Clause: Our digital services rely on advanced cloud hosting environments and specialized platform networks .Thalos Inc. is not liable for any unexpected third-party platform downtime or hosting network service outages. If our underlying platform network experiences a temporary data delay, you cannot hold Thalos Inc. responsible for lost business connectivity or missed revenue.

7. Prohibited Activities & Content Ownership

A. Acceptable Use Policy

You agree to use our websites and platform tools strictly for lawful business functions. You are expressly prohibited from using your website or sub-account to:

• Deploy unsolicited text message marketing or SMS spam that violates applicable telecommunication consumer laws and carrier regulations.
• Host or distribute fraudulent service listings, deceptive business practices, defamatory statements, or malicious digital software.
• Attempt to bypass, alter, or break our underlying web application firewalls or server access frameworks.

B. Intellectual Property & Content Ownership Split

• What You Own: You retain 100% ownership of your proprietary business assets uploaded to the site, including your registered logos, trade names, custom text copy, employee photos, client list data, and distinct brand marks.
• What Thalos Inc. Owns: We retain exclusive ownership of all underlying code systems, engineered layout wireframes, software architecture logic, visual design templates, and technical configurations developed by our team. You are granted a non-transferable, revocable license to display and interact with these assets exclusively during the duration of your active subscription.

8. Limitation of Liability & Indemnification

A. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Thalos Inc., its directors, officers, employees, or partners (including Jorge and Julian) be held legally or financially liable to you or any third party for any direct, indirect, incidental, special, exemplary, or consequential damages. This includes, without limitation, any loss of business profits, missed commercial bids, lost customer leads, property damage claims, or technical software disruption resulting from your use of our websites or platform features. Our total aggregate liability for any claim arising under these Terms shall never exceed the total dollar amount you paid to us during the three (3) months prior to the incident.

B. Indemnification

You agree to defend, indemnify, and hold completely harmless Thalos Inc. and its operators from and against any legal claims, liabilities, financial losses, court judgments, damages, or defense costs (including attorney fees) resulting from your business operations, your treatment of your end-customers, your explicit services rendered in the field, or your violation of any laws or regulations through your website asset.

9. Governing Law & Contact

These Terms and your use of our Services are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or dispute arising under this agreement shall be handled exclusively in the courts located in San Diego County, California.
